Disclout Terms of Service
Effective date: October 5, 2026
1 About these terms
These Terms govern your use of disclout.com and Disclout’s services, including Creator Price offers. Disclout is operated by OMGHey LLC d/b/a Disclout, located at 1209 Mountain Road P1 Ne Ste N, Albuquerque, NM 87110 (“Disclout,” “we,” “us,” or “our”). “You” means the person using the service or accepting an offer. A “Brand” is the merchant offering the Creator Price.
By affirmatively accepting these Terms when enrolling in a Creator Price offer, you agree to these Terms and the specific offer details shown before acceptance. If you do not agree, do not enroll. Purchasing at the merchant’s standard price does not require participation in a Creator Price offer.
2 Who may participate
You must be at least 18 years old, have legal capacity to enter this agreement, and own or be authorized to use the social account and payment method you provide. Participation may be limited by location, product, campaign, or social platform.
Provide accurate information, including your contact information, order details, social username, and account statistics. Your account must be public and accessible for verification during the required posting period. Do not use stolen identities, purchased followers, fabricated engagement, or misleading account information.
3 How Creator Price works
A Creator Price is a conditional discount in exchange for creating and posting content about your purchase according to an offer’s requirements. Before you accept, the offer must identify the eligible product, standard price, Creator Price, discount amount, platform and content format, posting deadline, minimum period the post must remain live, required disclosures and tags, objective content requirements, and content reuse rights. It must also identify who may collect repayment and the maximum repayment amount.
Supported offers may include TikTok videos, Instagram Reels or regular posts, and YouTube videos or Shorts, as specified in the offer. Not every format is eligible for every offer. Your available discount may depend on your account’s reach, engagement, and prior verified campaign results. The price displayed and accepted for your order controls; later changes to your statistics or our scoring do not change that price.
The offer details control campaign-specific matters. These Terms control the general relationship. An offer cannot require a dishonest statement, a positive opinion, or the waiver of rights that cannot legally be waived. Requirements cannot be increased after you accept without your agreement.
4 Creating and submitting your content
Create original content based on your actual experience with the product. Follow the accepted requirements for format, length, product visibility, tags, disclosures, and any other clearly stated production criteria. Submit the post link, username, and any raw file expressly required by the offer through the submission method provided.
Post by the deadline shown in your offer and keep the post public, accessible, and substantially unchanged for the minimum live period shown. If no minimum live period is stated, it is 30 consecutive days from publication. A posting deadline must be provided before acceptance. Unless expressly stated otherwise, a deadline tied to delivery starts when the product is actually delivered.
You do not guarantee any number of views, likes, followers, clicks, or sales. Poor performance alone does not breach a Creator Price offer or trigger repayment. Contact us promptly if delivery delays, a defective product, platform removal, or another problem prevents completion; we will review the circumstances and any appropriate extension or alternative.
5 Honest opinions and advertising disclosures
Your content must reflect your genuine experience and opinions. You are never required to give a positive review, a particular rating, or praise you do not believe. We will not reject content or demand repayment because of an honest negative opinion. Required talking points must be truthful and must not force you to misrepresent your experience.
Clearly disclose that you received a discount in exchange for the content. For example: “I received a discount from [Brand] in exchange for creating this post.” Place the disclosure where viewers will readily notice it, before any caption truncation. For video, include it within the video, using both visible text and spoken disclosure where appropriate. Use the platform’s branded-content tools when required; those tools do not replace a clear disclosure in the content itself.
Follow applicable advertising laws and platform rules. Do not make unsupported health, safety, financial, or performance claims, claim to have used a product you have not used, or present the content as an unincentivized recommendation.
6 Verification and corrections
Disclout and the Brand may review your submitted content and relevant public account information to confirm compliance with the accepted offer. We may use automated systems and human review. Review assesses the disclosed requirements, not whether your opinion is favorable.
If we identify a correctable problem, we will explain it and ordinarily give you seven calendar days after notice to correct it or provide evidence of compliance before collecting repayment. We may extend this period where appropriate. Contact legal@disclout.com to request review of a decision. An inaccessible post or an automated flag alone is not conclusive evidence of a breach; we will consider the information you provide.
If a platform removes compliant content for reasons outside your control, or the product cannot be delivered, we will review a reasonable alternative, extension, or cancellation of the posting obligation rather than automatically requiring repayment.
7 Discount repayment and payment authorization
If you do not complete the accepted requirements, do not correct a notified breach within the applicable correction period, or remove or make the post private before the required live period ends without an approved exception, you may owe repayment of the Creator Price discount for the affected item. Repayment is limited to the discount actually received and disclosed before acceptance. These Terms do not impose an additional shopper penalty or Disclout service fee.
Before collection, we will send notice identifying the affected offer, the unmet requirement, the proposed amount, the collecting party, and how to dispute or correct the issue. Amounts genuinely under review will not be collected until that review is completed. We will not collect the same discount twice, including through both a repayment charge and a refund adjustment.
Accepting these Terms alone does not authorize a later charge to a saved payment method. Any automatic discount repayment requires a separate, explicit payment authorization at checkout identifying the collecting party, payment method, circumstances, and maximum amount. Charges may be made only through a lawful, supported payment process consistent with that authorization. Without that authorization, any repayment must be requested through a separate invoice or payment request. You retain your applicable payment-dispute rights.
8 Returns cancellations and refunds
The Brand is responsible for product sales, fulfillment, returns, warranties, and product refunds under its policies and applicable law. Disclout administers the Creator Price program and does not replace the merchant’s obligations.
A full cancellation or accepted full return ends the posting obligation for the returned item. The refund should reflect the amount you actually paid for that item, subject to lawful, disclosed adjustments. If a discount repayment has already been collected, the Brand and Disclout must account for it so that you are not charged twice or denied the corresponding refund. Partial returns are assessed only for the affected items. These Terms do not restrict mandatory cancellation or refund rights.
9 Ownership and content reuse
You retain ownership of your content. By submitting content for an offer, you give Disclout and the Brand a nonexclusive license to access, store, reproduce, and review it for verification and administration.
When you complete the offer and retain the discount, you grant Disclout and the Brand a worldwide, nonexclusive, royalty-free, perpetual license to reproduce, publish, distribute, display, perform, and adapt that campaign content for their marketing. This includes websites, product pages, social channels, email, and paid advertising. They may permit their agencies and service providers to exercise these rights on their behalf for those purposes. Your discount is the compensation for this license; no additional royalties are due unless separately agreed in writing.
The license includes your name, social handle, voice, and likeness only as included in or reasonably associated with that content. Reasonable edits such as cropping, resizing, captions, subtitles, and excerpts are permitted, but must not distort your opinions, remove required disclosures, or imply an endorsement you did not make. It does not authorize unrelated resale of your identity, AI model training, synthetic impersonation, or access to your social account. Advertising through your personal account or handle requires a separate express authorization.
The marketing license survives the offer’s completion and later removal of your original post, subject to applicable law. Unless you separately agree otherwise, if an offer is cancelled or the discount is fully repaid before completion, only the verification and administration license applies; the marketing license does not take effect. Any narrower reuse limits expressly stated in your accepted offer control.
10 Rights in your content
Submit only content you own or have permission to use for the uses authorized above. Obtain permission from identifiable adults appearing in the content and appropriate parent or guardian consent for any child. Do not disclose someone else’s private information. Do not create unsafe, unlawful, hateful, or misleading content.
Music, images, clips, and other third-party material must be cleared for the intended use. A platform’s music library may permit a social post without permitting reuse in paid advertising. Where an offer requires a reusable raw file, provide a version without uncleared music or other restricted material. Disclout and the Brand remain responsible for obtaining any additional permissions required by their own use.
11 Data and communications
We process information such as contact details, order information, social usernames, submitted content, public account metrics, and campaign results to administer the service. We share relevant information with the Brand and service providers where necessary for verification, support, reporting, and authorized content use. Our separate Privacy Policy explains our data practices and applicable privacy rights.
Participation may involve transactional emails or other agreed service messages about deadlines, submissions, corrections, and repayment. Marketing messages and marketing text messages require any consent mandated by law and are not required to receive a Creator Price. We do not require your social account password.
12 Acceptable use and service availability
Do not misuse the service, interfere with its operation, impersonate others, submit fraudulent claims, or attempt unauthorized access. We may suspend participation for a material violation, with notice where practicable. Suspension alone does not establish a repayment obligation or excuse us from reviewing evidence of completed work.
We may change or discontinue future offers and service features. Changes do not retroactively alter accepted campaign requirements, earned discounts, or content rights. Social platforms and payment providers operate independently; Disclout does not guarantee their availability. Disclout is not endorsed by or affiliated with TikTok, Instagram, YouTube, or Shopify solely because the service integrates with them.
13 Disclaimers and liability
To the extent permitted by law, the service is provided “as is” and “as available.” We do not guarantee that participation will produce sales, account growth, or any particular marketing result. Nothing in these Terms excludes any warranty, remedy, or consumer right that cannot lawfully be excluded.
To the extent permitted by law, neither party is liable to the other for unforeseeable or indirect losses arising from use of the service. This limitation does not exclude liability for fraud, intentional misconduct, gross negligence, death or personal injury where exclusion is unlawful, or any other liability that cannot legally be limited. It does not excuse an authorized refund or repayment obligation.
14 Disputes and changes to these terms
Contact legal@disclout.com about a dispute so we can attempt to resolve it. These Terms do not require binding arbitration, waive class-action rights, or prevent you from pursuing remedies available under applicable law. Mandatory consumer protections in your place of residence continue to apply.
We may update these Terms for future participation and will display a new effective date. Material changes affecting an ongoing offer require your agreement before taking effect for that offer. The version you accepted governs that offer unless you agree to a change. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
